Terms of Service
The business terms governing access to Bulk, customer responsibilities, commercial protections and the relationship between our agreements.
Effective
1. Parties, scope and acceptance
These Terms govern the provision of Bulk by ManagementSupport LLC, trading as Bulk (“Bulk”), to the business organisation identified in an order that expressly incorporates these Terms (“Customer”). Bulk’s contact is support@trybulk.app.
The agreement consists of that order, these Terms and the documents expressly incorporated below (“Agreement”). It takes effect when the order is signed or accepted by another method expressly identified in the order. Each person accepting represents that they have authority to bind the relevant organisation. Merely browsing the website, requesting a template, accepting analytics or reading a privacy notice does not enter an organisation into a paid subscription.
The Services are offered for business use in the US, UK and EU. Consumer purchases are not offered under these Terms. Existing agreements remain governed by their own terms unless the parties expressly adopt this Agreement.
2. Orders and precedence
Each order identifies the subscribed Services, deployment, fees, currency, taxes, payment schedule, subscription term, renewal and non-renewal arrangements, implementation scope and any specific service commitments. There is no automatic renewal under these Terms unless the order states one. An order must be complete before acceptance; neither marketing material nor a quotation without acceptance fills an omitted commitment.
In a conflict, mandatory transfer clauses control their subject matter, followed by the DPA for personal-data processing, an expressly negotiated and signed amendment, the order and these Terms. An order may vary these Terms only by clearly identifying the variation; it cannot reduce mandatory data-protection safeguards. The Acceptable Use Policy is incorporated. The AI & Data Handling Notice and Security & Support Policy describe the Services and apply to their relevant use; numeric service levels or credits are binding only if stated in the order. The Privacy Notice explains processing and is not a licence to reuse customer data.
Customer purchase-order boilerplate or supplier-portal terms do not amend the Agreement unless Bulk expressly signs acceptance of those terms. A purchase-order number may be used for invoicing without accepting its additional terms.
3. Access and customer administration
During the subscription, Bulk grants Customer a non-exclusive, non-transferable right to allow its authorised users to access the Services for Customer’s internal business purposes within the order’s scope. Affiliates may use the Services only as permitted by the order; Customer remains responsible for their use. No source-code licence, ownership transfer, resale right or right to operate the Services for unrelated third parties is granted.
Customer manages user authorisations, access levels, connected systems and the accuracy of its configuration. It must protect credentials, promptly remove access no longer required, maintain suitable devices and connectivity, and notify Bulk promptly of suspected unauthorised access. Customer is responsible for its users’ compliance with the Agreement.
4. Customer data and lawful use
Customer retains its rights in information and materials it or its users supply (“Customer Data”). Customer grants Bulk and its authorised service providers only the rights needed to host, process, transmit, display and otherwise handle Customer Data to provide, secure and support the Services under the Agreement, comply with lawful instructions and meet applicable legal duties.
Customer is responsible for obtaining the rights, notices, lawful bases and instructions needed for Customer Data and connected services. This includes employee monitoring, attendance, sensitive information, photographs and signatures. Customer must not submit data subject to restrictions the parties have not agreed Bulk can meet, including classified information or controlled technical data requiring an unagreed hosting, access or authorisation arrangement. A reference to aerospace, laboratory or medical-device workflows does not itself approve such processing.
Bulk will not use Customer Data to train a general-purpose model without Customer’s separate express agreement. This commitment does not represent an unverified promise about every external provider’s retention or terms. Bulk’s processing of personal data is subject to the DPA.
5. Operational responsibility and AI
Customer determines and validates its manufacturing, testing, quality, safety and regulatory processes. Bulk supplies software and is not a certification body, laboratory approver, legal adviser or safety-control system. Customer must independently check outputs, calculations, configurations, instructions and records before relying on them in consequential operations. Customer must maintain appropriate business continuity and safety procedures.
AI outputs may be inaccurate, incomplete or non-unique. Enabled integrations and workflows can perform actions within the permissions granted to them; Customer must review those permissions and required approval steps. No statement that an AI feature offers suggestions guarantees that every integration is read-only or that every operation has a human approval gate. Additional safeguards or validation services must be expressly agreed.
6. Fees and payment
Customer must pay the fees when due under the order, without set-off except where required by law. Fees exclude applicable taxes, which Customer must pay other than taxes on Bulk’s net income. Currency, billing period, late-payment charges, if any, and renewal pricing must be specified in the order or a signed amendment; these Terms do not invent a late-payment rate.
Fees are non-cancellable and non-refundable except where the Agreement expressly provides otherwise or law requires. A good-faith invoice dispute must identify the disputed amount and reasons promptly; undisputed amounts remain payable. Bulk may suspend for overdue undisputed fees after written notice and a reasonable opportunity to resolve the non-payment. An order may specify that period. An upgrade, paid implementation or additional service requires agreement on its scope and fees.
7. Service changes, third parties and support
Bulk may maintain, update and improve the Services. Bulk will not materially reduce the core subscribed functionality during a paid term without a reasonable substitute or an agreed resolution. Features labelled preview, experimental or beta may change or be withdrawn and are provided as available, without a service-level commitment. Roadmap statements are not delivery commitments.
Third-party systems selected or contracted by Customer are governed by their own terms, availability and limitations. Customer authorises the exchanges necessary for an integration it enables. Bulk is not responsible for those independent systems; this does not remove Bulk’s responsibility for its own subprocessors under the DPA.
General support is described in Security & Support. There is no universal uptime warranty, response or resolution deadline, round-the-clock staffing commitment, recovery target or service credit. A signed order may provide specific commitments and remedies.
8. Confidentiality
Each party will protect the other’s non-public business, technical and commercial information that is identified as confidential or reasonably understood to be confidential. Customer Data is Customer’s confidential information. The receiving party may use confidential information only to perform or exercise rights under the Agreement and may disclose it only to persons with a need to know and suitable confidentiality obligations.
This obligation does not cover information the recipient can demonstrate was lawfully known without restriction, becomes public without breach, is independently developed, or is lawfully obtained from another source. Legally compelled disclosure is permitted to the extent required; where lawful, the recipient will give notice and reasonable assistance to seek protection. Confidentiality survives termination while the information remains confidential. Personal-data obligations apply independently.
9. Bulk intellectual property and feedback
Bulk and its licensors retain all rights in the Services, software, documentation and improvements, excluding Customer Data. Rights not expressly granted are reserved. Customer must not copy, resell, circumvent access controls or reverse engineer the Services except to the extent an applicable law permits notwithstanding this restriction. Third-party and open-source components remain subject to their applicable licences.
Customer may provide voluntary suggestions. Bulk may use those suggestions without payment or restriction, but this does not authorise disclosure or use of Customer Data or confidential information embedded in feedback. No right to use Customer’s name or logo as an endorsement is granted by these Terms.
10. Warranties and disclaimers
Each party represents that it has authority to enter the Agreement. Bulk will provide the Services with reasonable care and skill. Customer must describe an alleged failure in sufficient detail for investigation. Where Bulk fails to meet that commitment, Bulk will first have a reasonable opportunity to correct or re-perform the affected Services; persistent material failure is subject to the termination provisions below.
Except for express commitments in the Agreement and to the maximum extent permitted by law, the Services, templates, beta features and outputs are provided “as is” and “as available”. Bulk disclaims implied warranties of merchantability, fitness for a particular purpose and non-infringement, and does not warrant uninterrupted or error-free operation or that the Services achieve a certification or business result. Nothing excludes a warranty or duty that cannot lawfully be excluded. Any additional performance warranty or indemnity by Bulk must be expressly agreed in writing.
11. Customer indemnity
Customer will defend Bulk against third-party claims arising from Customer Data that infringes rights, Customer’s unlawful instructions, or Customer’s material misuse of the Services in breach of the Acceptable Use Policy, and pay resulting finally awarded damages and reasonable settlement amounts. This does not apply to the extent a claim results from Bulk’s breach of the Agreement or unlawful conduct.
Bulk must promptly notify Customer of the claim, allow Customer control of the defence with competent counsel, and reasonably cooperate at Customer’s expense. Customer may not settle a claim in a way that admits wrongdoing by Bulk, imposes a non-monetary obligation on Bulk or fails to release Bulk without Bulk’s prior written consent. Delay in notice reduces the obligation only to the extent it materially prejudices the defence.
12. Limitations of liability
To the maximum extent permitted by law, neither party is liable under or in connection with the Agreement for indirect, consequential, special, exemplary or punitive loss, or for lost profits, revenue, goodwill or anticipated savings, whether arising in contract, tort or otherwise, even if advised of the possibility.
Except for the exclusions below, each party’s aggregate liability arising from the affected order will not exceed the fees actually paid by Customer under that order during the 12 months immediately preceding the first event giving rise to the claim. Related events form one claim for this purpose. This is one aggregate cap, not a separate cap for each claim or document.
The cap does not limit Customer’s obligation to pay fees properly due or its indemnity obligations under section 11. Neither the cap nor the exclusions limit fraud, wilful misconduct, death or personal injury caused by negligence where exclusion is prohibited, liability that applicable law does not permit to be limited, or rights and liabilities that mandatory data-protection or transfer provisions prohibit the parties from restricting. The cap applies to ordinary confidentiality and data-protection claims between the parties only to the extent lawfully permitted; it does not purport to cap a regulator’s powers or an individual’s mandatory rights.
13. Suspension and termination
Bulk may restrict access to the extent reasonably necessary to address a credible security threat, unlawful use, material abuse or a legal requirement. Bulk will give notice where lawful and practicable, limit the restriction to the affected functionality when reasonably possible, and restore access when the reason is resolved. Suspension does not authorise unrelated use of Customer Data.
Either party may terminate an affected order for a material breach that remains uncured 30 days after written notice identifying it, or immediately if the breach is incapable of cure or applicable law requires termination. Insolvency termination applies only where permitted by law. Customer may not terminate a fixed term for convenience unless the order permits it. Bulk will refund prepaid fees for the unused period if Customer terminates for Bulk’s uncured material breach; other refunds are limited to those expressly provided in the Agreement or required by law.
14. Exit and data return
At the end of the subscription, access ends subject to an agreed exit arrangement. Customer should arrange export before the end of the term. The order and DPA processing schedule must identify export formats, the exit-access period, live-system deletion, backup expiry and any separately charged transition assistance. These Terms do not promise an automatic full export or a universal backup wipe deadline.
Bulk will return or delete personal data in accordance with the DPA and applicable law. Required legal retention must be limited, protected and explained where lawful. Payment disputes do not remove mandatory data-protection obligations. Provisions intended to survive, including accrued payment rights, confidentiality, ownership, liability and dispute provisions, continue after termination.
15. Law and disputes
The Agreement is governed by Wyoming law, excluding its conflict-of-law rules and the UN Convention on Contracts for the International Sale of Goods. Subject to mandatory rights and the distinct law and forum provisions of applicable transfer clauses, the parties submit to the exclusive jurisdiction of the state and federal courts located in Wyoming. Each party may seek urgent protective relief in a court of competent jurisdiction where permitted by law.
The parties will first attempt in good faith to resolve a commercial dispute through their nominated business contacts. This does not prevent urgent relief, a statutory complaint or action necessary to preserve a limitation period. A Wyoming choice-of-law clause does not displace applicable EU, UK or US privacy obligations.
16. General provisions and notices
Neither party may assign the Agreement without the other’s consent, not unreasonably withheld, except as part of a merger or transfer of substantially all of the relevant business to a successor able to perform it. Assignment does not bypass data-protection or subprocessor obligations. Neither party is liable for delay caused by events beyond its reasonable control, provided it takes reasonable mitigation steps; this does not excuse payment already due or legal data-protection duties.
Formal notices must be sent to the contacts specified in the order; Bulk’s default contact is support@trybulk.app. The order should identify the recipient responsible for legal and subprocessor notices. Electronic signatures and counterparts are permitted. A failure to enforce a provision is not a waiver. Invalid provisions are severed only to the extent necessary, preserving the remainder where possible. No third-party rights are created except where expressly provided or required by applicable data-protection and transfer terms.
The Agreement is the entire agreement concerning its subject matter, without excluding liability for fraud. Changes to a signed agreement require the agreed amendment procedure; posting a new version on the website does not retrospectively replace the version incorporated in an existing order. Bulk may update non-contractual descriptions to reflect current facts and will give any notice or seek any consent required by law or the Agreement.
